1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of northpeakrefrigeration.com (the "Website") and the products and services offered by NorthPeak Refrigeration, a division of Vesso Ventures LLC ("NorthPeak," "we," "us," or "our"). By accessing the Website or placing an order, you agree to these Terms. If you do not agree, please do not use the Website.

2. Business Customers and Eligibility

NorthPeak sells commercial refrigeration equipment to businesses and organizations (for example, restaurants, bars, hotels, healthcare facilities, schools, and grocery/convenience operations). By using the Website or ordering, you represent that you are at least 18 years old, are acting on behalf of a business, and have authority to enter into these Terms on its behalf.

3. Request-a-Quote Model; No Online Pricing

The Website operates on a request-a-quote basis. Product listings are for information and configuration purposes and do not display binding prices or constitute an offer to sell at a stated price. Pricing, availability, freight, lead time, and configuration are confirmed in a written quote. A binding order exists only when you approve a quote and we issue an order confirmation or invoice and accept your order.

4. Product Information and Availability

We work to describe our equipment accurately, but product images, specifications, and descriptions may come in part from manufacturers and are provided for general reference. Specifications, availability, and configurations are subject to change and should be confirmed at the time of quote. We do not warrant that listing content is error-free, and we may correct errors, update information, or discontinue products at any time.

5. Orders and Acceptance

We reserve the right to refuse, limit, or cancel any order, including for reasons of product availability, pricing or description errors, credit or payment concerns, or suspected fraudulent or unauthorized activity. See our Payment Policy for how ordering and payment work.

6. Shipping, Freight, and Risk of Loss

Equipment is shipped by freight as described in our Shipping Policy. All sales are made under a shipment contract: title and risk of loss pass to you upon our delivery of the goods to the carrier. You are responsible for inspecting shipments at delivery and noting any damage as described in the Shipping Policy and Return and Refund Policy.

7. Returns, Refunds, and Cancellations

Returns, refunds, damage claims, and cancellations are governed by our Return and Refund Policy, which is incorporated into these Terms. Custom, configured, and special-order equipment (including built-to-order walk-in coolers and freezers) is generally non-returnable and non-cancelable once in production.

8. Warranties and Disclaimer

Equipment sold by NorthPeak is typically covered by the manufacturer's warranty, provided directly by the manufacturer under its own terms; we will help you identify the applicable warranty. Except for any applicable manufacturer's warranty and any rights that cannot be waived under law, the Website and products are provided "AS IS," and NorthPeak disclaims all other warranties, express or implied, including implied warranties of merchantability and fitness for a particular purpose. We do not warrant that the Website will be uninterrupted, secure, or error-free.

9. Limitation of Liability

To the fullest extent permitted by law, NorthPeak and Vesso Ventures LLC, and their officers, members, employees, and agents, will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, or business interruption, arising from or related to the Website or the products. To the fullest extent permitted by law, our total liability for any claim will not exceed the amount you paid for the product giving rise to the claim.

10. Indemnification

You agree to indemnify and hold harmless NorthPeak and Vesso Ventures LLC from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Website, your order, or your violation of these Terms or of any law or third-party right.

11. Intellectual Property

Website content created by NorthPeak — including text, logos, and layout — is owned by NorthPeak or Vesso Ventures LLC and protected by applicable law. Manufacturer names, logos, images, and trademarks are the property of their respective owners. You may not copy, resell, or commercially exploit Website content without our written permission.

12. Acceptable Use

You agree not to use the Website for any unlawful purpose, to disrupt or attempt to gain unauthorized access to the Website or its systems, or to submit false or fraudulent order information.

13. Third-Party Links

The Website may link to third-party sites (for example, manufacturers). We are not responsible for the content or practices of those sites.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law rules. Any dispute arising under these Terms will be brought in the state or federal courts located in Colorado, and you consent to their jurisdiction, except where applicable law provides otherwise.

15. Changes to These Terms

We may modify these Terms at any time. Changes take effect when posted to the Website. Your continued use of the Website or placement of an order after changes are posted constitutes acceptance.

16. Severability and Entire Agreement

If any provision of these Terms is held unenforceable, the remaining provisions stay in effect. These Terms, together with our Privacy Policy, Payment Policy, Shipping Policy, and Return and Refund Policy, constitute the entire agreement between you and NorthPeak regarding the Website and supersede prior agreements on that subject.
